Confidentiality & Forms

Buying or selling a business involves sensitive information — financial figures, customer and supplier details, staff information, and the terms of a deal. We treat that information as confidential, and we ask buyers to do the same before they see it.

Before sensitive business information is shared

Before a buyer is shown the details of a business for sale, we ask the buyer to sign a confidentiality agreement. That agreement covers the information shared, how it may be used, and who it may be shared with.

Buyers are also asked to sign a non-disclosure and non-circumvention agreement, with a record of showing. In plain terms, that means the buyer agrees not to use the information to go around the broker or to contact the business, its owner, staff, customers, or suppliers directly, unless that contact has been agreed in advance. The record of showing notes which businesses the buyer has been shown, so everyone is clear about how introductions were made.

Information About Brokerage Services

Texas law requires a broker to provide an Information About Brokerage Services (IABS) disclosure, which explains the types of brokerage relationships in Texas and how a broker works with buyers and sellers. We provide that disclosure as part of the process, before a buyer goes further with a business.

How to get the forms

The forms are not available to download from this site. They are provided directly once a buyer registers — see Buyer Registration — or books a Business Purchase Consultation. That way we can explain each form, answer questions, and make sure the right version is signed for the business involved.

If you are a seller, confidentiality works the same way in the other direction: your information is not shared with buyers, or with anyone else, without your agreement. See Seller Registration or book a Confidential Business Sale Consultation to talk it through.
